These Terms of Service ("Terms") govern your access to and use of Kuashify (the "Service"), a product operated by Cozytique ("we", "us", "our") from Dhaka, Bangladesh. By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1. The Service
Kuashify is a multi-tenant SaaS platform that provides businesses with a unified inbox for Meta messaging channels (Facebook Messenger, Instagram Direct, WhatsApp Business), a CRM, order and product management, invoice generation, courier dispatch, AI-assisted customer support, and marketing analytics.
2. Eligibility
- You must be at least 18 years old to use the Service.
- You must be an authorized representative of a lawfully operating business entity.
- Your use of the Service must comply with all applicable laws and the terms and policies of any third-party platforms you connect, including Meta, bKash, courier partners, Shopify, and WooCommerce.
3. Accounts and security
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us promptly at kuashify@gmail.com of any suspected unauthorized access to your account.
- Access for team members within your organization is governed by the role-based permissions you configure in your account settings.
4. Subscription plans and billing
The Service is offered on tiered subscription plans. Current plan names, features, and pricing are displayed within the Service at the time of subscription and are subject to change with advance notice as described in Section 17.
Each subscription tier includes a monthly allotment of message credits used by the AI Agent. When the monthly allotment is exhausted, AI features are paused until you purchase additional credits or your next billing cycle begins. Subscription fees are billed monthly in advance. All amounts are in Bangladeshi Taka (৳) and are non-refundable except where required by applicable law.
5. Free trial
New organizations receive a 30-day free trial upon registration. At the end of the trial period, your organization is automatically converted to the entry-level paid plan unless you upgrade, downgrade, or cancel before the trial expires. We will send reminder emails before the trial ends.
6. Payments — bKash
Payments are processed by bKash Limited. By making a payment you also agree to bKash's applicable terms and policies. We store only transaction identifiers and payment status; we never store your bKash PIN, OTP, or any sensitive payment credentials.
7. Acceptable use
You agree not to use the Service to:
- Send spam, phishing messages, scams, or any content that violates Meta's Messenger, Instagram, or WhatsApp Business policies.
- Harass, threaten, or defame any individual or organization.
- Distribute malware, illegal content, or content that infringes on any third party's intellectual property rights.
- Reverse engineer, scrape, or attempt to circumvent rate limits, billing systems, or access control mechanisms.
- Resell or sublicense the Service to third parties without our written permission.
We may suspend or terminate accounts that violate this section or that jeopardize the platform's standing with Meta, bKash, or any courier or payment partner.
8. Tenant content and ownership
- You retain full ownership of the data, messages, customer records, products, and orders that you upload or that flow through your connected channels ("Tenant Content").
- You grant Kuashify a limited, non-exclusive license to host, process, transmit, and display Tenant Content solely as required to operate the Service for your organization.
- We will not access Tenant Content except to deliver the Service, provide support that you request, comply with applicable law, or investigate suspected abuse.
9. Intellectual property
The Service, including the platform software, user interface, brand assets, logos, and documentation, is owned by Cozytique and protected by applicable copyright and trademark law. "Kuashify" and "Cozytique" are marks of Cozytique. These Terms do not grant you any rights to our intellectual property or brand marks.
10. Third-party services
The Service integrates with third parties including Meta Platforms, bKash, Pathao, Steadfast, Redx, Carrybee, Paperfly, WooCommerce, Shopify, and our AI provider. You are responsible for complying with each provider's terms and for the validity and security of the credentials and access tokens you connect to the platform. We are not liable for outages, policy changes, or data losses caused by these third-party services.
11. AI Agent
The AI Agent uses large language models to draft suggested replies and, when enabled, to analyze product images. AI-generated output may contain inaccuracies and should be reviewed before being sent to customers. You remain solely responsible for the messages your organization sends. AI features are automatically suspended when your credit balance is insufficient to continue.
12. Suspension and termination
- You may cancel your subscription at any time from your organization settings. Access to the Service continues until the end of the current paid billing period.
- We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or actions that pose a risk to the security or integrity of the platform.
- Upon termination, your data is retained in accordance with the Privacy Policy and then permanently deleted.
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted availability or that the Service will be free from errors or defects.
14. Limitation of liability
To the maximum extent permitted by applicable law, Cozytique's total aggregate liability arising out of or related to the Service in any twelve-month period shall not exceed the total fees you paid to us during that same period. In no event shall Cozytique be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.
15. Indemnity
You agree to indemnify, defend, and hold harmless Cozytique and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to (a) your Tenant Content, (b) your violation of these Terms, (c) your violation of any third-party platform's terms or policies, or (d) messages your organization sends to its customers.
16. Governing law and disputes
These Terms are governed by the laws of the People's Republic of Bangladesh. Any dispute arising out of or in connection with these Terms shall be resolved exclusively in the competent courts of Dhaka, Bangladesh.
17. Changes to the Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
